Terms and Conditions

1. Definitions and The Institutional Framework

These Terms and Conditions govern the relationship between Passion Education Ltd (the Company) and the Parent or Guardian (the Client) of the student (the Scholar). By enrolling a Scholar in any instructional cycle, the Client agrees to be bound by these terms and the principles of the APEX Framework.


2. Enrolment and Cell Formation

Enrolment is subject to the Minimum Density Requirement. The Company operates on a model of Instructional Cells.

  • Pending Status: Upon payment, a Scholar is placed in a Pending Instructional Cell.
  • Viability: A cell is only confirmed once the minimum number of scholars is reached.
  • Cancellation: If a cell does not reach viability 7 days before the start date, the Company reserves the right to cancel the cycle and issue a full refund. The Company is not liable for any further costs or damages resulting from such a cancellation.


3. Fees and Financial Obligations

All fees for the Instructional Cycle must be paid in full and in advance via the approved secure payment gateways.

  • Payment Gateways: All transactions are handled securely via Square or GoDaddy.
  • Non Refundable Deposit: A portion of the fee represents an administrative enrolment cost and is non refundable once a cell is confirmed as viable.
  • Late Joiners: Scholars joining after a cycle has commenced will be charged at the full cycle rate unless otherwise agreed in writing by the CEO.


4. Intellectual Property and the APEX Framework

All instructional materials, forensic writing audits, curriculum scaffolds, and proprietary methodologies are the exclusive intellectual property of Passion Education Ltd.

  • Prohibited Use: Clients and Scholars are strictly prohibited from recording, reproducing, or distributing any lesson content or materials without the express written consent of the CEO.
  • Breach: Any breach of this clause will result in immediate termination of enrolment without refund and may lead to legal action.


5. Safeguarding and The Digital Environment

The Company adheres to strict UK statutory safeguarding standards.

  • Camera Policy: In accordance with our Linguistic Auditing protocol, Scholars must keep cameras enabled during live sessions.
  • Technical Responsibility: The Client is responsible for ensuring their hardware and internet connection meet the minimum specifications required for instruction (Intel i5 or equivalent and 50 Mbps stable connection).


6. Service Availability and Force Majeure

The Company shall not be liable for any delay or failure to perform its obligations resulting from causes outside its reasonable control. This includes but is not limited to internet service provider failures, national power outages, or platform downtime. In such events, the Company will endeavour to provide a recorded alternative or a rescheduled session.


7. Non Solicitation of StaffThe Client agrees not to privately engage or attempt to engage the services of any Lead Practitioner introduced by the Company for a period of 12 months following the conclusion of the Scholar’s final Instructional Cycle. This ensures the integrity of our professional network.


8. Statutory Right to CancelIn accordance with the Consumer Contracts Regulations, the Client has 14 days to cancel this agreement from the date of payment. However, if the Client requests the services to begin immediately by accessing instructional materials in the Security Vault or attending a live lesson, they acknowledge that the right to a full refund is waived for services already provided.


9. Limitation of LiabilityWhile the Company strives for academic excellence, we do not guarantee specific examination grades. The responsibility for final examination performance remains with the Scholar. Passion Education Ltd shall not be liable for any indirect or consequential loss arising from the use of our services.


10. Termination and Notice

  • By the Company: We reserve the right to terminate this agreement immediately for breach of conduct, intellectual property theft, or non payment.
  • By the Client: Notice of withdrawal must be provided in writing at least 14 days before the start of a new Instructional Cycle.


11. Jurisdictional Authority

This agreement and any dispute arising from it are governed exclusively by the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the English courts.
